Job brief:

The Assistant General Counsel will be responsible for:

  • Primary legal support for TWC’s data and advertising technology (AdTech) business offerings.
  • Legal support for the business development team and other areas of TWC’s business as may be required.
  • Commercial, product, partner, and supplier agreements (including master service agreements, statements of work, etc.) relating to data and information, licensing, and software services.
  • Privacy, data governance, and intellectual property counseling.

The impact you'll make:

  • Provide expert and strategic legal advice to the lines of business (LOBs) for which you primarily support.
  • Draft, review, negotiate, and manage commercial contracts, including inbound and outbound licenses, master services agreements, statements of work, data supplier and integration agreements, technology services agreements, and supplier agreements.
  • Provide legal support for commercial, alliance, and product teams using an ability to understand, interpret, and translate legal, business, and technical concepts to provide opinions on legal risk and ensure appropriate contractual terms.
  • Help ensure the organization's compliance with data protection laws, such as GDPR, CCPA, and other relevant regulations.
  • Direct intricate technology agreements, encompassing software licensing, hosted services, and strategic alliances.
  • Oversee compliance with statutory, regulatory, and industry-standard requisites, upholding corporate governance.
  • Shape marketing strategies, business partnerships, and regulatory policies, contributing to holistic company growth.
  • Develop, direct, and cost-manage relationships with outside counsel and other legal services providers.

What you've accomplished:

  • 8+ years of legal experience
  • Extensive knowledge and understanding of SaaS and data products and the AdTech industry/ecosystem, including experience with IAB terms and insertion orders.
  • Ability to clearly and concisely draft and negotiate complex commercial and product agreements, with minimal support from senior staff.
  • Strong knowledge of data privacy laws, both in the US and globally.
  • Excellent judgment and ability to understand and manage business risks.
  • Outstanding communication skills, with the ability to interact effectively with stakeholders at all levels within and outside the organization.
  • Strong negotiation skills, experience drafting and negotiating distribution, product and development, sales, procurement, data and content licensing (inbound and outbound) including software licensing and hosted offerings.
  • Strong interpersonal skills with ability to gain trust and confidence with key stakeholders across functions and the ability to adapt quickly to constructive feedback.
  • Ability to work with teams to understand goals and requirements, risks and alternative approaches and mitigation opportunities.
  • Substantial knowledge and expertise of privacy laws and requirements applicable to consumer facing digital offerings, tracking and sharing in the AdTech ecosystem and B2B and enterprise engagements.

Education and Experience: 

  • Juris Doctorate (JD) from an accredited law school is required. 
  • In-house experience required and law firm experience preferred. 
  • Must be licensed to practice law the USA and in good standing.
